Terms of Service

These Terms of Service ("Terms") govern your access to and use of Roxzine Business School, including the website roxzine.com, our courses, and related services (together, the "Platform"), operated by Roxzine ("Roxzine," "we," "us," or "our"). This applies whether you use the Platform as a student, instructor, affiliate, or Learning Partner. By creating an account, purchasing a course, or using the Platform in any way, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old to create an account or purchase a course on the Platform. If you are under 18, you may use the Platform only with the involvement and consent of a parent or legal guardian.

2. Accounts

• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• You agree to provide accurate information when registering and to keep it up to date.
• Where a role requires identity verification (instructors and affiliates, before publishing a course or requesting a withdrawal), you agree to provide accurate, genuine identification documents.
• We reserve the right to suspend or terminate accounts that violate these Terms.

3. Courses and Content License

When you purchase a course, we grant you a limited, non-exclusive, non-transferable license to access and view that course for personal, non-commercial learning purposes. You may not:

• Share your account or course access with anyone else
• Download, copy, record, reproduce, or redistribute course content
• Resell, sublicense, or use course content for commercial training purposes without our written permission

Course access does not expire unless otherwise stated on the specific course page.

4. Certificates of Completion

Certain courses on the Platform include a certificate of completion ("Certificate") upon finishing the course.

• Certificates are issued automatically to your student dashboard the moment you complete all required course lessons — there is no manual processing delay.
• Each Certificate carries a unique verification code that can be checked at any time on our public certificate verification page. You may also share your Certificate directly from that page, including adding it to your LinkedIn profile or sharing it to WhatsApp, Facebook, or X.
• A Certificate confirms that you completed the stated course on the Platform. It does not constitute a professional license, accreditation, degree, or guarantee of any financial, professional, or business outcome.
• You are responsible for ensuring the name on your account is accurate at the time of course completion, as this is the name that will appear on your Certificate.
• Requests to correct a name or reissue a lost Certificate may be made by contacting us at contact@roxzine.com, and may be subject to a verification process.
• Roxzine reserves the right to revoke or invalidate a Certificate if it was issued in error, obtained fraudulently, or if the associated payment is later reversed or charged back.
• Where a unique certificate ID and verification tool are provided on the Platform, that ID is personal to you and should not be altered, shared to misrepresent someone else's completion, or used to imply an affiliation, credential, or endorsement beyond what the Certificate states.
• Certificate records and verification codes are retained permanently, even if the associated account is later deleted, so that a Certificate always remains verifiable.

5. Payments

• All payments are processed securely through Paystack. Roxzine does not store your card or payment details.
• Prices are listed on each course page and may be subject to change without prior notice; changes will not affect courses already purchased.
• You are responsible for any transaction fees charged by your bank or payment provider.
• Only successfully completed payments grant course access, count toward an instructor's sales, or generate an affiliate commission. Pending or failed payments do not.

6. Refund Policy

All sales are final. Due to the digital nature of our courses, we do not offer refunds once a course has been purchased, regardless of how much of the course has been accessed. Please review course descriptions, previews, and instructor information carefully before purchasing.

Exceptions may be made solely at our discretion in cases of proven technical error (e.g. duplicate charge, failed access due to a platform fault on our end).

7. Instructor Terms

The following terms apply to anyone registered on the Platform as an instructor.

7.1 Revenue Share

Instructors retain 92% of net revenue generated from sales of their courses, after payment processing fees. Roxzine retains 8% as a platform fee.

7.2 Content Ownership

Instructors retain ownership of the intellectual property in the courses they create. By publishing a course on the Platform, an instructor grants Roxzine a non-exclusive, worldwide, royalty-free license to host, display, market, and deliver that content to students through the Platform for as long as the course remains published.

7.3 Content Standards

Instructors are responsible for ensuring their content is original, accurate, and does not infringe on any third party's rights. Roxzine reserves the right to review, reject, or remove any course content that violates these Terms, is misleading, or falls below our quality standards.

7.4 Identity Verification & Publishing

Instructors must complete identity verification before a course can be published live on the Platform. This helps students trust who they are learning from and ensures withdrawals can only ever be made by the verified account holder.

7.5 Affiliate Promotion

Instructors may optionally list a course in the Affiliate Marketplace and set their own affiliate commission rate for that course. Doing so authorizes registered Roxzine affiliates to promote that course and earn the stated commission on resulting sales.

7.6 Payouts & Withdrawals

Instructor earnings are credited automatically to an instructor wallet as sales are completed. Instructors may request a withdrawal at any time, subject to:

• Meeting the minimum withdrawal amount set by Roxzine
• Providing bank account details (or reusing a previously saved account) in the instructor's own name, matching their verified identity — third-party accounts are not accepted
• The applicable withdrawal fee and net payout amount being shown before the withdrawal is confirmed
• Standard review before a withdrawal is approved and paid out via Paystack

Instructors are responsible for any tax obligations arising from their earnings.

7.7 Termination of Instructor Status

Roxzine may suspend or remove an instructor's access to the Platform for violations of these Terms, including but not limited to fraudulent activity, repeated student complaints, or content violations. Earned and unpaid revenue owed at the time of removal will still be settled, subject to standard verification.

8. Affiliate Terms

The following terms apply to anyone registered on the Platform as an affiliate.

8.1 What Affiliates May Promote

Affiliates may promote (a) instructor courses listed in the Affiliate Marketplace, at the commission rate set by that course's instructor, and (b) Learning Partner programs listed on the Platform, earning 50% of whatever referral commission Roxzine itself receives from that Learning Partner.

8.2 Commission & Tracking

Each affiliate is issued a unique tracking link. A commission is only earned once a referred order is successfully completed; pending or failed orders never generate a commission.

8.3 Promotional Conduct

Affiliates must not misrepresent a course, instructor, or Learning Partner they are promoting, engage in spam, or use misleading claims to generate referrals. Roxzine reserves the right to withhold commissions or terminate an affiliate's account for violations of this section.

8.4 Payouts & Withdrawals

Affiliate commissions are credited automatically to an affiliate wallet as referred orders are completed. Withdrawals follow the same standards as instructor withdrawals in Section 7.6 — minimum withdrawal amount, identity-matched bank account, fee and net amount shown before confirmation, and standard review before payout via Paystack.

9. Learning Partner Terms

The following terms apply to any institution approved as a Learning Partner on the Platform.

9.1 Application & Approval

Institutions apply to become a Learning Partner and are subject to review before approval. Roxzine may decline or later revoke Learning Partner status for institutions that do not meet its quality standards or that provide inaccurate information.

9.2 No Listing Fees; Referral-Based Model

There is no fee to list an institution's programs on the Platform. A referral fee is payable to Roxzine only once a student referred by Roxzine successfully enrolls with the Learning Partner, at the rate agreed in the Learning Partner's onboarding agreement.

9.3 Enrollment, Branding & Certification

Students complete enrollment directly on the Learning Partner's own website, under the Learning Partner's own brand, admissions process, and certification — Roxzine does not enroll students on a partner's behalf or issue certificates for a partner's programs.

9.4 Institution Profile Content

Learning Partners retain ownership of the logo, cover image, program descriptions, and other materials submitted for their institution profile, and are responsible for ensuring that content is accurate and does not infringe on any third party's rights.

9.5 Affiliate Promotion of Learning Partners

By listing on the Platform, a Learning Partner authorizes registered Roxzine affiliates to promote its programs, as described in Section 8.1, at no additional cost to the Learning Partner.

10. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Platform or another user's account
• Upload harmful code, spam, or misleading content
• Harass, defraud, or misrepresent yourself to other users, instructors, affiliates, Learning Partners, or staff

11. Intellectual Property

The Roxzine name, logo, branding, and platform design are the property of Roxzine and may not be used without our written permission. Course content remains the property of the respective instructor as described in Section 7.2; Learning Partner institution profile content remains the property of the respective Learning Partner as described in Section 9.4.

12. Disclaimer of Warranties

The Platform and its content are provided "as is." While we strive for accuracy and quality, we do not guarantee that any course will lead to specific financial, professional, or business outcomes. Results depend on individual effort and circumstances.

13. Limitation of Liability

To the maximum extent permitted by law, Roxzine shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform, including loss of income or business opportunities.

14. Changes to These Terms

We may update these Terms from time to time. Continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms. We recommend checking this page periodically.

15. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Rivers State, Nigeria.
